Who this applies to

These terms apply when you use virgola.co.nz, or when you engage Virgola ("we", "us") for a website, hosting, or plan. By using the site or becoming a client, you agree to them. If anything here conflicts with a signed proposal or quote we've sent you, the proposal or quote takes priority.

Website builds

Quotes for new websites are based on the scope discussed at the time. Work outside that scope — extra pages, features, or rounds of revisions beyond what was agreed — is quoted and billed separately before we start it. Timelines depend on you supplying content and feedback promptly; delays on your end can push back the delivery date.

Ongoing plans (hosting, Site Care, CMS)

Our hosting and plan pricing is billed annually, in advance, unless we've agreed otherwise in writing. You can cancel a plan at any time — see the plans page for current pricing and what each plan includes. We don't refund the unused portion of an annual payment on cancellation unless required by law.

Where a plan includes a set number of content updates or a pricing guarantee (for example, the Site Care Plan), the terms shown on that plan's page at the time you sign up apply. We may update plan pricing or inclusions going forward, but changes won't apply retroactively to a period you've already paid for.

Payment

Invoices are due on the terms stated on the invoice. If payment is significantly overdue, we may pause work, hosting, or site availability until it's resolved. Domain registration and renewal fees, where applicable, are your responsibility and are separate from our plan pricing.

Ownership

Once you've paid in full for a website build, you own the site's content, design, and code we produced for you, unless we've agreed otherwise. Third-party tools, themes, plugins, or stock assets used in the build remain subject to their own licences. We may showcase completed work in our own portfolio and marketing unless you ask us not to.

Free tools

Tools on this site — including the SEO checker, speed test, cost calculator, and social preview checker — are provided as-is, for general guidance only. Results are automated estimates, not a professional audit, and we don't guarantee their accuracy or completeness.

Liability

We'll do our best to keep your site running and your data safe, but we can't guarantee the site or its hosting will be uninterrupted or error-free. To the extent permitted by law, we're not liable for indirect or consequential loss arising from your use of our site, tools, or services. Nothing here limits any rights you have under New Zealand's Consumer Guarantees Act 1993 or Fair Trading Act 1986 that can't lawfully be excluded.

Governing law

These terms are governed by the laws of New Zealand, and any dispute is subject to the jurisdiction of the New Zealand courts.

Changes to these terms

We may update these terms from time to time. The date at the top of this page shows when it was last revised. Continued use of the site or an ongoing plan after a change means you accept the updated terms.
